Description of Services and SubscriptionNinja AI offers an advanced AI-powered solution engineered to significantly enhance Google Maps rankings for businesses.1 The core features of the service include an AI-powered Google Ranking Boost, continuous daily ranking improvements, AI-optimized updates with geotags, seamless data field synchronization with Google, traffic monitoring, and the provision of simple, easy-to-understand key results reports.1 The technology integrates directly with Google Business Profile through Google API verification, employs AI content generation for optimized descriptions, utilizes geo-targeted photo AI for location-enhanced images, and incorporates a local AI SEO engine for effective keyword targeting.1 The service operates on enterprise-grade AI technology, ensuring high performance, robust security, and compliance with Google's standards.1 User interaction is designed to be minimal and hassle-free, requiring only an initial business name entry, after which the AI performs automated optimization, with users maintaining control via a dashboard that allows pausing the service at any time without contracts, and receiving automatic progress reports.1Ninja AI offers its services through various monthly subscription tiers, each providing distinct features and capabilities.3 Users have the option to be billed annually, which provides a 20% discount on the subscription price.3 The following tables provide a detailed overview of the subscription tiers and accepted payment methods:Payment Terms, Billing, and Cancellation: Ninja AI supports a variety of payment methods, though their availability may vary based on the user's geographical location.3 Subscriptions are typically billed on a monthly cycle, with an option for annual billing. Payments for Services are generally required on a 100% prepayment basis, as per the invoice issued by Ninja AI.13 Users have the flexibility to cancel their subscription at any time by email notification to help@trynina.co. Upon cancellation, the plan will remain active until the end of the current billing period. Ninja AI may at any time increase monthly subscription fees based on the rising costs of using AI models and API calls. These price adjustments can be up to 50% of your monthly subscription fees and will be reflected on your next invoice or billing statement. The service emphasizes a no-contract policy, allowing users to pause their subscription at any time without incurring further obligations.
3. SMS and Messaging ServiceBy using the services offered by Tryninja.co ("Company," "we," "us," or "our"), you agree to these SMS and Messaging Service terms, which are incorporated into our overall Terms and Conditions.
Opt-In ConsentBy providing your mobile phone number to us, you expressly consent to receive recurring automated promotional and personalized marketing and informational text messages (e.g., SMS and MMS) from Tryninja.co, including messages that may be sent using an automatic telephone dialing system. Your consent to receive these messages is not a condition of any purchase.

Delivery of text messages is subject to effective transmission from your wireless service provider/network operator and is outside of our control. The mobile carriers are not liable for delayed or undelivered messages.
No WarrantyTHE SMS AND MESSAGING SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Acceptable Use Policy and Prohibited Conduct: Users are mandated to utilize the Services exclusively for lawful purposes and in strict adherence to this Agreement and NinjaTech’s Acceptable Use Policy, which is incorporated by reference and accessible at https://www.tryninja.co/t&cs Ninja AI may revise this policy periodically and will notify users of such changes.5 The detailed Acceptable Use Policy is particularly important for an AI service, as it demonstrates a proactive approach to mitigating the legal, ethical, and reputational risks associated with the potential misuse of AI. This policy helps protect Ninja AI from liability stemming from malicious or irresponsible user behavior.Key examples of prohibited conduct include, but are not limited to 16:Using the Services as part of an automated decision-making process that has legal or similarly significant effects, unless human review is ensured for the final decision.Explicitly predicting an individual's protected characteristics, such as racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, age, gender, sex life, sexual orientation, disability, health status, or medical condition.Submitting images of individuals for the purpose of creating or analyzing biometric identifiers, such as face prints, fingerprints, or scans of eyes, hands, or facial geometry.Engaging in coordinated inauthentic behavior aimed at manipulating public debate.Creating or distributing highly deceptive manipulated or synthetic digital media, including deepfakes, that is fabricated or false but presented as authentic or fact-based.Engaging in plagiarism or academic dishonesty.Targeting, generating, or distributing political campaign materials for external public or semi-public audiences.Harvesting or collecting information about other users of the Services.Systematically downloading and storing content, data, or outputs from the Services.Any activity that is, or may be, threatening, harassing, degrading, abusive, hateful, or intimidating, or that otherwise fails to respect the rights and dignity of others.Any activity that is defamatory, libelous, fraudulent, tortious, or otherwise unlawful, including impersonating another person, company, or entity.Infringing upon any patent, copyright, trademark, or any other proprietary or intellectual rights of any other party.Uploading, posting, emailing, transmitting, or otherwise offering any unsolicited or unauthorized advertising, promotional flyers, "junk mail," or "spam."Introducing any virus, worm, Trojan horse, Easter egg, time bomb, spyware, or other computer code, file, or program that is potentially harmful or intended to damage or hijack the operation of, or monitor the use of, any hardware, software, or equipment.Reverse engineering, decompiling, or disassembling any portion of the Services (including the source code and underlying components, models, algorithms, or systems), except where such restriction is expressly prohibited by law.Framing or mirroring any portion of the Services, or otherwise incorporating any portion of the Services into any other product or service without Ninja AI's express prior written consent.
User Content (Input & Output) Responsibilities: Users bear sole responsibility for any and all content (referred to as "Input") that they post, upload, email, transmit, or otherwise make available via the Services.14 Users acknowledge and agree that any use of Outputs (information, data, reports, and other results received from the Services based on the Input, or other information generated from usage) is undertaken at their sole risk.5 Users are responsible for evaluating the Output for accuracy and appropriateness and should not rely on it as the exclusive source of truth, factual information, or a substitute for professional advice, particularly for sensitive, high-risk, or mission-critical tasks or decisions. Output pertaining to an individual must not be used for purposes that could have a legal or material impact on that person, such as medical, legal, or employment decisions.
Compliance with Applicable Laws: All access to or use of the Services and any Output generated must comply with all applicable federal, state, local, or foreign laws, codes, statutes, ordinances, rules, regulations, and orders.
Usage Limits: Users acknowledge that the Services may be subject to limitations on the amount of use, such as rate limits, corresponding to their chosen service tier.
Hardware & Telecommunications: Users are responsible for obtaining, maintaining, and covering the costs of all necessary hardware, telecommunications, and other services required to access and use the Services.

Ninja AI's Ownership of Services and Technology: Ninja AI (NinjaTech AI, Inc.) retains all rights, title, and interest in and to the Services, including all intellectual property rights, data models, model weights, embeddings, algorithms, and other associated technology.5 Our trade names, trademarks, and service marks, such as "Ninja AI," "NinjaTech AI," and their associated logos, are exclusively our property. Users are expressly prohibited from using our intellectual property in connection with any non-Ninja AI product or service, or in any manner that could cause confusion or imply endorsement.5
User Ownership of Input: As between the user and Ninja AI, users retain any ownership rights they hold in their "Input," which refers to the materials or content they provide to the Services.5
License Granted to Ninja AI for Content (Input & Output): Users grant Ninja AI a worldwide, royalty-free, fully paid-up, non-exclusive, perpetual, irrevocable, transferable, and fully sublicensable license to reproduce, distribute, perform, display, create derivative works of, adapt, modify, use, analyze, and exploit the "Content" (comprising both Input and Output) for any purpose. This broad license is essential for operating, maintaining, supporting, securing, developing, and improving the Services and other products/services, and includes the right to sublicense these rights to third parties.5 This extensive license is crucial for an AI service. While users retain ownership of their original Input, Ninja AI requires a broad license to both the Input and the generated Output to effectively operate, improve, and develop its services. This strikes a balance between the user's ownership of their original data and Ninja AI's operational necessity to leverage data for its core business, which may include model training, unless explicitly excluded for certain tiers, as is the case for the Business plans.3
Output Uniqueness and User Responsibility for Use: Due to the inherent nature of AI Services, the Output generated may not be unique, meaning other users could receive similar Output.5 Users explicitly accept and agree that any use of Outputs is at their sole risk.5 They bear the responsibility for evaluating the Output for accuracy and appropriateness and should not rely on it as the sole source of truth, factual information, or a substitute for professional advice.5 This explicit disclaimer regarding "Output Uniqueness" and the user's "sole risk" for "evaluating Output for accuracy" directly addresses the inherent limitations of AI, such as the potential for "hallucinations" or inaccuracies. This serves as a vital liability shield for an AI service, managing user expectations by clearly stating that the AI is a tool and human oversight is required for critical applications.
Feedback: Users irrevocably and perpetually grant Ninja AI a non-exclusive, worldwide, sublicensable license to use any ideas, proposals, or suggestions ("Feedback") for any purpose. Users waive any "moral rights" in such Feedback and acknowledge that it is not confidential, unsolicited, and does not create any fiduciary obligation for Ninja AI.5
User Warranties: Users represent and warrant that they possess all necessary rights to grant the licenses outlined in this section, and that their Inputs are complete, accurate, not fraudulent, tortious, or in violation of any applicable law or third-party rights. Users also irrevocably waive any "moral rights" concerning the attribution or integrity of materials for their Input.5

Disclaimers and WarrantiesThis section outlines the limitations of liability and warranties provided by Ninja AI, which are crucial for managing expectations and allocating risk."AS IS" and "AS AVAILABLE" Basis: THE SERVICES (INCLUDING BETA SERVICES), PRODUCTS, AND ANY THIRD-PARTY MATERIALS ARE PROVIDED ON AN "AS IS," "WHERE IS," AND "WHERE AVAILABLE" BASIS, WITHOUT ANY WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.5
No Guarantees: Ninja AI does not guarantee that the Services (including Beta Services) will remain updated, complete, correct, or secure, or that access will be uninterrupted.5 Users acknowledge that the Services or the Output generated may contain bugs, inaccuracies, errors, and materials that may violate or conflict with this Agreement.5
Beta Services Disclaimer: Any Beta Services offered are experimental, remain under development, and may contain bugs, errors, or inaccuracies. They are subject to material changes without notice. Use of Beta Services is undertaken at the user's sole risk.
Third-Party Materials Disclaimer: Ninja AI does not control, endorse, or assume responsibility for any Third-Party Materials (including their accuracy, validity, timeliness, completeness, reliability, integrity, quality, legality, usefulness, safety, or intellectual property rights).5 The availability of Third-Party Materials through the Services does not imply endorsement or affiliation by Ninja AI.5 Use of any Third-Party Materials is at the user's own risk and subject to their respective terms and conditions.5 The cumulative effect of these disclaimers (e.g., "AS IS," no guarantees, beta services, third-party materials) is to comprehensively allocate risk away from Ninja AI and onto the user. This is a standard practice for SaaS offerings but is particularly vital for AI services where outcomes can be inherently unpredictable. These disclaimers are fundamental to protecting the service provider from liability arising from service interruptions, performance issues, or the inherent inaccuracies of AI-generated content, effectively managing user expectations by clearly stating the limitations of the service.
7. Limitation of LiabilityThis section is paramount for limiting the financial exposure of Ninja AI and its affiliated entities.
Exclusion of Indirect Damages: Ninja AI will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of use, loss of data, loss of intangibles, or security breaches related to inputs, even if advised of the possibility of such damages.5
No Liability for Service Use/Inability to Use: Ninja AI will not be held liable for any damages resulting from a user's use or inability to use the Services, or from any Products or Third-Party Materials, including damages caused by viruses.5
Sole Remedy: A user's sole and exclusive remedy for any dissatisfaction with the Services, Products, or Third-Party Materials is to discontinue using the Services.5
Maximum Aggregate Liability: Ninja AI's maximum aggregate liability for all damages, losses, and causes of action arising from or related to this Agreement shall be the greater of (i) the total amount paid by the user to Ninja AI for the Services during the twelve (12) months preceding the event giving rise to the liability, or (ii) $100.00.5
Benefit of Affiliated Entities: All limitations of liability stated herein apply equally to Ninja AI and its Affiliated Entities, which include its shareholders, directors, officers, employees, affiliates, agents, representatives, licensors, suppliers, and service providers.5 This section is critical for limiting the financial exposure of Ninja AI. By capping liability and explicitly excluding indirect damages, the company protects itself from potentially catastrophic claims that could arise from service failures or unexpected outcomes of AI optimization. This approach quantifies and limits the financial risk to Ninja AI, ensuring that potential damages from service issues do not jeopardize the company's solvency.
8. TerminationThis section outlines the conditions under which the Agreement may be terminated by either party and the consequences of such termination.
Ninja AI's Right to Terminate/Suspend: Ninja AI reserves the right to terminate or suspend a user's access to or use of the Services at any time, without prior notice, for any reason or no reason, including if Ninja AI believes the user has violated this Agreement.5
Cessation of Rights: Upon termination or suspension, the user's right to use the Services will immediately cease. Ninja AI may, without liability or obligation to provide further access, deactivate or delete the user's account and any associated materials.5
Accrued Fees: Users remain obligated to pay all Fees accrued prior to the termination date, prorated for any partial months or performance periods.5
Confidential Information: Upon written instruction from Ninja AI, users must promptly destroy or return all confidential information, except as required by applicable law or retention policies, in which case it must still be treated as confidential.
Survival of Provisions: Certain sections of this Agreement are designed to survive termination, meaning their terms and conditions will continue to be binding even after the Agreement ends. These include, but are not limited to, provisions related to the Privacy Policy, Jurisdictional Issues, Fees/Taxes/Audit (for accrued fees), Your Content, Monitoring, Ninja AI's IP Rights, Confidentiality, Third-Party Materials/Links, Disclaimer of Warranties, Limitation of Liability, Indemnity, Governing Law/Arbitration, Export Controls, and Miscellaneous provisions.5
User's Right to Terminate: Users may unilaterally terminate this Agreement by providing Ninja AI with at least 10 calendar days' prior written notice.13 In the event of a unilateral termination by a Customer (specifically a legal entity) after the commencement of the Service, Ninja AI reserves the right to deduct a fine equivalent to the value of the Services paid for but not yet rendered due to the Customer's rejection.
9. Dispute ResolutionThis section outlines the process for resolving disputes between users and Ninja AI, emphasizing arbitration as the primary method.
Governing Law: This Agreement is governed by the laws of the United States, including federal arbitration law, and the substantive laws of the State of California, U.S.A., without regard to its conflicts of law principles.5
Mandatory Arbitration (Individual Basis): Except for disputes that qualify for small claims court, all disputes, controversies, or claims arising from or related to this Agreement or the relationship between the user and Ninja AI will be resolved through final and binding arbitration before a neutral arbitrator.5 Users expressly waive their right to a jury trial and their right to participate in class actions.5 Any arbitration conducted under this Agreement will take place solely on an individual basis; class arbitrations and class actions are expressly prohibited.5
Arbitration Administration: The arbitration will be administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Comprehensive Arbitration Rules and Procedures. In-person appearances, if necessary, will be held at a mutually convenient location. The arbitrator's decision will adhere to the terms of this Agreement, will be final and binding, and may include the award of injunctive relief.5 The mandatory arbitration clause, coupled with a specific opt-out mechanism, represents a sophisticated legal approach to managing and controlling potential disputes. This strategy aims to reduce litigation costs and avoid the significant risks associated with class action lawsuits, which are common challenges for online service providers.
Opt-Out Option: Users have the option to opt out of this arbitration agreement. To do so, they must contact TryNinja via email at help@tryninja.co , within 30 days of their initial acceptance of these Terms of Service. The opt-out notification must clearly state the user's name and an explicit declaration declining the arbitration agreement.5
Agency Reporting: Nothing in this Agreement is intended to prevent users from bringing issues to the attention of federal, state, or local governmental agencies.5
10. Miscellaneous ProvisionsEntire Agreement: This Agreement constitutes the entire and sole agreement between the user and Ninja AI concerning the Services, superseding all prior or contemporaneous communications and proposals, whether oral or written.14
Severability: If any provision of this Agreement is determined to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, that specific provision will be deemed severable from this Agreement and will not impact the validity and enforceability of any remaining provisions.14
Assignment: Users may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Ninja AI. Ninja AI reserves the right to assign or transfer its rights and obligations under this Agreement at its sole discretion.
Force Majeure: Neither party shall be held liable for any delay or failure in performance of its obligations under this Agreement if such delay or failure results from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
